LexClerk AI – Terms of Use

1. Acceptance of Terms

By accessing or using LexClerk AI ("the App"), you agree to be legally bound by these Terms of Use ("Terms").

If you do not agree to these Terms, you must not access or use the App.

2. Application Markets and Availability

LexClerk AI is intended for professional use and is made available in the United States, Canada, Australia, the United Kingdom, Singapore, Hong Kong, and South Africa.

Availability may vary depending on local laws, regulations, and app store policies.

3. Service Description

LexClerk AI is an iOS application that provides speech-to-text transcription services, legal terminology recognition, audio recording tools, and searchable transcript functionality.

The App is a productivity and support tool only and does not provide legal advice, legal services, or legal representation.

4. User Eligibility

You must be at least 18 years old, have the legal capacity to enter into binding agreements, and comply with all applicable laws and professional obligations in your jurisdiction.

5. User Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

6. User Responsibilities

You are solely responsible for ensuring that your use of the App complies with attorney–client privilege requirements, court confidentiality rules, and professional conduct standards.

You are responsible for reviewing, verifying, and approving all transcripts before any professional or legal use.

7. Data Handling and Confidentiality

Audio recordings and transcripts are automatically and permanently deleted within 24 hours of creation.

Data is not retained, logged, archived, used for AI training, or shared with third parties.

LexClerk AI is designed with strict respect for attorney–client confidentiality and judicial secrecy obligations.

8. Prohibited Uses

You may not use the App for unlawful purposes, unauthorized recordings, intellectual property infringement, reverse engineering, account sharing, or any activity that violates applicable laws or ethical obligations.

9. Intellectual Property

You retain full ownership of your content. You grant LexClerk AI a limited, temporary license solely to process content for providing the services.

All software, branding, and platform components remain the exclusive property of LexClerk AI.

10. Disclaimers

LexClerk AI is provided "AS IS" and "AS AVAILABLE," without warranties of any kind.

We do not guarantee uninterrupted service, error-free operation, or specific outcomes from use of the App.

11. Limitation of Liability

To the maximum extent permitted by law, LexClerk AI shall not be liable for indirect, incidental, consequential, or professional damages.

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless LexClerk AI from claims arising from your use of the App, uploaded content, or violation of these Terms or professional obligations.

13. Subscription and Payments

Subscription fees are billed in advance and processed through authorized payment providers.

Subscriptions automatically renew unless cancelled prior to the renewal date.

14. Service Modifications and Availability

We may modify, suspend, or discontinue features of the App at any time, including for maintenance or legal compliance purposes.

15. Privacy

Your use of the App is subject to our Privacy Policy, which forms an integral part of these Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by applicable laws based on the user's principal place of business or residence, subject to mandatory local consumer protection rules.

Disputes shall be resolved through binding arbitration where permitted by law.

Governing Law: These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be brought in Delaware courts.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LexClerk AI regarding use of the App.
